Requirements:     General Competencies:

• General understanding of business law, intellectual property law, and corporate governance requirements for a publicly traded company.
• Able to review and understand the key aspects of contracts and other legal records and capture material concepts uniformly and concisely.
• Ability to solve practical problems and deal with a variety of variables.
• Familiarity with software applications, including web based applications, for managing electronic records – experience with contract management or document management systems a plus.
• Excellent organizational skills and attention to detail.
• Ability to work independently on projects or assigned tasks, as well as part of a team.
• Aware of own competency level, knows when to seek guidance from others.
• Ability to effectively set priorities, meet deadlines and manage multiple projects for several attorneys.

Education, Certificates and Licenses:
• Paralegal Certification required
• Associate’s degree or Bachelor’s degree preferred.

Experience:
• Eight (8) to ten (10) years’ experience at a law firm or in-house corporate experience.
Job Description:     Position Summary: The Senior Paralegal will be required to support our General Counsel and Corporate Counsel in the following areas: corporate compliance and corporate governance matters, contract searches, tracking, and filing, document retention programs, insurance program administration, co-ordination with outside counsel, intellectual property documentation and administration, general transaction support, and research and special projects.

Duties and Responsibilities: The essential duties and responsibilities regularly performed and normally assigned to this position are to assist the legal and contract management teams as follows:

1. Assists in the preparation and administration of documents for General Counsel and Corporate Counsel in the following areas:
a. Board meetings and corporate governance, including coordinating meetings and agendas, maintaining board records and resolutions and preparing meeting materials;
b. SEC and other filings;
c. Minutes and routine corporate secretary documents for subsidiaries; prepare and file state and local filings;
d. PR review and public disclosures;
e. Routine documents and agreements (NDAs, amendments, and other standard transactions).

2. Assists Corporate Counsel and IP Specialist to maintain contract databases;
a. Reviews, indexes, and tracks legal records;
b. Determines appropriate organization, tracking, and storage or destruction of legal contracts and records, including corporate governance and intellectual property documents in accordance with the agreed methodology.

3. Coordinate with IP Specialist, other internal personnel and outside counsel to obtain information and documentation required to maintain US and foreign patent and trademark registrations.
4. Review, code and process legal bills from outside counsel; develop and implement reports for monitoring outside legal spending.
5. Assist with insurance program administration, including Directors & Officers insurance, and processing of claims.
6. Provide litigation support, perform due diligence and prepare schedules, as required.
7. Perform clerical duties, such as scheduling appointments, composing routine correspondence, and acting as a liaison between parties.
8. Manage special projects or undertake ad hoc projects under supervision of an attorney.
